Part I — Introduction

1. Acceptance of These Terms

1.1 Agreement

Welcome to Dinner Date.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Dinner Date ("Dinner Date", "we", "our", or "us") governing your access to and use of the Dinner Date website, mobile applications, services, software, content, features, APIs, communications, and related products (collectively, the "Services").

By creating an Account, accessing the Services, browsing the platform, or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all documents incorporated by reference.

If you do not agree to these Terms, you must not access or use the Services.

Where these Terms conflict with another published policy, these Terms shall prevail unless Applicable Law requires otherwise or the other policy expressly states that it governs a specific subject matter.

1.3 Changes to These Terms

Dinner Date may update these Terms from time to time to reflect:

• changes in applicable laws;
• improvements to the Services;
• new features;
• security enhancements;
• operational requirements;
• business changes;
• technological developments.

Material changes will be communicated through reasonable means, which may include:

• in-app notifications;
• email;
• website notices;
• login notifications.

Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by Applicable Law.

Where Applicable Law requires additional consent, Dinner Date will obtain such consent before implementing relevant changes.

1.4 Electronic Agreement

You agree that these Terms may be accepted electronically.

Electronic acceptance has the same legal effect as a handwritten signature where recognized by Applicable Law.

Electronic records relating to your acceptance of these Terms may be maintained by Dinner Date for evidentiary and operational purposes.

1.5 Language

These Terms are written in English.

Translated versions may be provided for convenience.

If a conflict exists between a translated version and the English version, the English version shall govern unless Applicable Law requires otherwise.

2. Definitions

Unless otherwise defined elsewhere in these Terms, the following definitions apply.

"Account"

The registered user account created to access the Services.

"Applicable Law"

Any law, regulation, ordinance, court order, regulatory guidance, or legally binding governmental requirement applicable to the Services or either party.

"Approved Venue"

A restaurant, café, or other dining establishment made available through or approved for use within the Dinner Date platform.

"Content"

Any information, text, images, photographs, videos, graphics, audio, messages, reviews, comments, profile information, or other materials made available through the Services.

"Deposit"

Any payment authorization, security hold, reservation fee, or other payment required in connection with a dining reservation.

"Dinner Date"

The operator of the Services, including its affiliates, subsidiaries, successors, licensors, and authorized service providers, where applicable.

"Invitation"

A dining invitation created by a User through the Services for the purpose of arranging an in-person dining experience.

"Personal Information"

Information relating to an identified or reasonably identifiable individual as defined by Applicable Law.

"Profile"

The collection of information displayed by a User through the Services.

"Restaurant Partner"

A restaurant or hospitality business participating in the Dinner Date platform.

"Services"

All Dinner Date products, applications, websites, software, APIs, communications, features, content, and related services.

"User"

Any individual accessing or using the Services.

"User Content"

Content uploaded, submitted, transmitted, created, or otherwise provided by Users through the Services.

Additional defined terms may appear throughout these Terms and shall have the meanings assigned to them in the relevant sections.

3. About Dinner Date

Dinner Date is a technology platform designed to help eligible adult users discover, arrange, and participate in dining experiences with other users.

The Services may include functionality such as:

• user registration;
• profile creation;
• dining invitations;
• restaurant discovery;
• reservations;
• messaging;
• safety features;
• optional geofence attendance verification;
• payment processing;
• trust and safety reporting;
• AI-assisted recommendations;
• customer support.

Dinner Date provides the technology platform facilitating these interactions.

Dinner Date is not:

• a dating agency;
• a matchmaking service guaranteeing compatibility;
• an employment agency;
• a travel operator;
• a transportation provider;
• a restaurant operator;
• an insurer;
• a security service;
• a law enforcement agency;
• a medical provider.

Dinner Date does not guarantee that any dining experience will occur, that users will be compatible, or that interactions between users will meet their expectations.

4. Scope of the Services

4.1 Technology Platform

Dinner Date provides software that enables users to interact with one another and with participating Restaurant Partners.

Dinner Date does not control the independent actions of users or Restaurant Partners.

4.2 Availability

The Services may not be available:

• in every country;
• on every device;
• through every operating system;
• at all times.

Dinner Date may modify, suspend, or discontinue any feature at any time without creating an obligation to continue offering that feature.

4.3 Beta Features

Certain features may be designated as:

• beta;
• preview;
• experimental;
• early access.

Such features are provided "as available" and may contain errors, interruptions, or incomplete functionality.

4.4 Third-Party Services

The Services may integrate with third-party providers, including:

• payment processors;
• mapping providers;
• identity verification providers;
• cloud infrastructure providers;
• notification services;
• Restaurant Partners.

Dinner Date is not responsible for the independent products or services of third parties.

4.5 No Guarantee of Availability

Dinner Date does not guarantee:

• uninterrupted operation;
• continuous availability;
• error-free functionality;
• compatibility with all devices;
• successful reservations;
• successful matches;
• successful dining experiences.

Reasonable efforts may be made to maintain reliable Services, but interruptions may occur.

5. Eligibility

5.1 Minimum Age

The Services are intended solely for individuals who satisfy the minimum age requirements established by:

• these Terms;
• the Age and Eligibility Policy;
• Applicable Law.

Unless a higher age is required by Applicable Law, users must be at least 18 years of age to create an Account or use the Services.

5.2 Capacity

You represent and warrant that you have the legal capacity to enter into a binding agreement.

If you do not possess such capacity, you must not use the Services.

5.3 Accuracy of Information

You agree to provide information that is:

• accurate;
• complete;
• current;
• not misleading.

You agree to keep such information reasonably up to date.

5.4 One Account

Unless expressly authorized by Dinner Date, each individual may maintain only one personal Account.

Creating multiple Accounts to circumvent enforcement actions or platform restrictions is prohibited.

5.5 Business Use

The Services are intended for personal, non-commercial use unless Dinner Date expressly authorizes commercial use in writing.

5.6 Restricted Persons

You may not use the Services if:

• your Account has been permanently terminated;
• you are prohibited from using the Services under Applicable Law;
• you are subject to applicable sanctions or legal restrictions;
• you have previously attempted to evade enforcement measures imposed by Dinner Date.

6. User Accounts

6.1 Registration

Access to certain features requires the creation of an Account.

You are responsible for maintaining the accuracy of your registration information.

6.2 Account Security

You are responsible for maintaining the confidentiality of your authentication credentials.

You agree to notify Dinner Date promptly if you become aware of:

• unauthorized access;
• suspected compromise;
• credential theft;
• suspicious account activity.

6.3 Responsibility for Account Activity

You remain responsible for activity occurring through your Account unless Applicable Law provides otherwise.

6.4 Verification

Dinner Date may request additional verification where reasonably necessary to:

• confirm eligibility;
• prevent fraud;
• protect users;
• investigate reports;
• comply with Applicable Law.

Failure to complete requested verification may result in restrictions on the Services or suspension of the Account.

6.5 Account Suspension or Termination

Dinner Date may suspend, restrict, or terminate an Account in accordance with these Terms, the Reporting and Enforcement Policy, and Applicable Law.

Examples include:

• fraud;
• impersonation;
• safety concerns;
• repeated policy violations;
• illegal activity;
• underage use;
• security risks.

6.6 Account Deletion

Users may request deletion of their Accounts through available account settings or customer support.

Deletion requests are handled in accordance with the Account Deletion and Data Retention Policy.

Certain information may continue to be retained where reasonably necessary to comply with Applicable Law, resolve disputes, protect users, prevent fraud, or satisfy legal obligations.

Part II — Using Dinner Date

7. User Responsibilities

7.1 Responsible Use

You agree to use the Services responsibly, honestly, respectfully, and in accordance with:

• these Terms;
• Applicable Law;
• the Community Guidelines;
• the Safety Guidelines;
• all other Dinner Date policies.

You are responsible for all activity conducted through your Account.

7.2 Personal Responsibility

You remain solely responsible for:

• your decisions;
• your communications;
• your behaviour;
• your interactions with other users;
• your attendance at dining experiences;
• complying with Applicable Law.

Dinner Date provides a technology platform only.

You are responsible for exercising your own judgement before interacting with another user.

7.3 Compliance

You agree that you will not use the Services to:

• violate Applicable Law;
• infringe the rights of others;
• interfere with platform operations;
• circumvent platform safeguards;
• misuse platform functionality.

7.4 Cooperation

You agree to cooperate with reasonable requests from Dinner Date relating to:

• account verification;
• fraud investigations;
• moderation;
• safety investigations;
• legal compliance.

Failure to cooperate may result in temporary or permanent restrictions.

8. Profile Accuracy

Dinner Date depends upon users providing truthful information.

You agree that your Profile will accurately represent you.

You must not:

• impersonate another individual;
• use another person's photographs;
• use misleading profile information;
• intentionally misrepresent your age;
• misrepresent your identity;
• misrepresent your relationship status;
• misrepresent your intentions.

You remain responsible for keeping your Profile reasonably current.

Dinner Date does not independently verify every statement made in user Profiles.

9. Identity Verification

To improve platform integrity and user safety, Dinner Date may request additional verification.

Verification may include:

• telephone verification;
• email verification;
• government-issued identification where permitted;
• selfie or liveness verification where available;
• payment verification;
• fraud screening.

Verification does not guarantee that another user is genuine, trustworthy, compatible, or safe.

Verification is intended only to reduce certain risks.

Dinner Date may refuse or revoke verification status at any time.

Failure to complete requested verification may limit access to certain Services.

10. Platform Communications

Dinner Date provides communication features to facilitate dining experiences.

These may include:

• direct messaging;
• invitations;
• reservation notifications;
• operational notifications;
• safety notifications;
• customer support communications.

Users remain solely responsible for communications they send.

Dinner Date may use automated systems and human review to detect spam, fraud, abuse, harassment, or other policy violations.

Dinner Date does not routinely review every communication exchanged between users.

Communications may be retained and reviewed where reasonably necessary to:

• investigate reports;
• comply with Applicable Law;
• protect users;
• enforce these Terms.

11. Matching and Invitations

Dinner Date enables users to create or join Invitations for dining experiences.

The platform does not guarantee:

• compatibility;
• chemistry;
• attendance;
• future relationships;
• successful dining experiences.

Invitation acceptance does not create a legal obligation requiring another user to attend.

Users remain free to cancel participation, subject to applicable cancellation policies and payment obligations.

Dinner Date may use algorithms or AI-assisted systems to recommend Invitations or users.

Recommendations do not constitute endorsements or guarantees.

12. Restaurant Reservations

Reservations may be facilitated through Dinner Date, Restaurant Partners, or third-party reservation providers.

Restaurant availability is outside Dinner Date's control.

Dinner Date does not guarantee:

• reservation availability;
• preferred seating;
• restaurant quality;
• restaurant service;
• menu availability;
• pricing accuracy.

Restaurants remain independently responsible for:

• food quality;
• hygiene;
• service standards;
• licensing;
• accessibility;
• alcohol service;
• compliance with Applicable Law.

Users should direct restaurant-specific complaints to the relevant Restaurant Partner where appropriate.

13. Payments and Deposits

Certain features of the Services may require payment.

Payments may include:

• reservation deposits;
• booking fees;
• premium subscriptions;
• optional features;
• taxes where applicable.

Dinner Date may authorize, capture, refund, release, or forfeit Deposits in accordance with:

• these Terms;
• the Payment Terms;
• the Refund and Deposit Policy.

Payment processing may be performed by independent third-party payment providers.

Dinner Date does not store complete payment card information processed directly by PCI-compliant payment providers.

Users authorize Dinner Date and its payment processors to process payments reasonably necessary to provide the Services.

Failed payments may result in:

• cancelled reservations;
• restricted functionality;
• suspension of certain Services.

14. Attendance Verification

Dinner Date may offer optional attendance verification features intended to support reservation integrity and platform safety.

Attendance may be confirmed using methods including:

• user confirmation;
• restaurant confirmation where available;
• geofence verification;
• QR codes;
• other verification technologies.

Attendance verification is intended to improve platform integrity and should not be interpreted as surveillance or continuous location monitoring.

Dinner Date seeks to minimize the collection and retention of attendance-related information.

15. Geofence Verification

Where enabled, Dinner Date may use limited geofence verification to determine whether a user has arrived at an Approved Venue.

Geofence verification:

• is optional where required by Applicable Law;
• is designed to support reservation integrity;
• is not intended to continuously track users;
• does not create real-time monitoring.

Users remain responsible for determining whether to enable location permissions.

Further information is available in the Location and Geofence Policy.

16. Safety Features

Dinner Date may provide optional safety tools including:

• emergency contacts;
• safety reminders;
• check-in prompts;
• reporting tools;
• blocking functionality;
• user reporting;
• AI-assisted risk detection.

These features are intended to support safer interactions but cannot eliminate all risks associated with meeting another individual.

Users remain responsible for exercising appropriate caution during in-person meetings.

Dinner Date strongly encourages users to:

• meet only in public places;
• arrange their own transportation;
• inform a trusted person of their plans;
• report suspicious behaviour.

Availability of safety features may vary by jurisdiction or platform.

17. Emergency Features

Dinner Date may provide optional emergency-related functionality designed to assist users during dining experiences.

Examples may include:

• emergency contact notifications;
• location sharing initiated by the user;
• safety check-ins;
• emergency assistance shortcuts.

Emergency features:

• do not replace emergency services;
• do not guarantee assistance;
• are not monitored continuously by Dinner Date;
• should not be relied upon as a substitute for contacting local emergency authorities.

Users remain responsible for contacting emergency services directly whenever immediate assistance is required.

Dinner Date does not guarantee that emergency notifications will be delivered, received, or acted upon without delay.

Users acknowledge that network failures, device limitations, third-party services, or technical interruptions may affect the availability or operation of emergency-related features.

Part III — User Content

18. User Content

18.1 Ownership of User Content

You retain ownership of the intellectual property rights you hold in the content you create, upload, submit, transmit, or otherwise make available through the Services ("User Content").

User Content may include, without limitation:

• profile information;
• profile photographs;
• biographies;
• invitations;
• messages;
• comments;
• reviews;
• preferences;
• responses to questionnaires;
• uploaded media;
• other content voluntarily submitted through the Services.

Except for the limited rights granted to Dinner Date under these Terms, these Terms do not transfer ownership of your User Content to Dinner Date.

18.2 Responsibility for User Content

You are solely responsible for the User Content associated with your Account.

You represent and warrant that:

• you own the User Content or have all necessary rights, permissions, and licenses to submit it;
• the User Content does not infringe the intellectual property or other rights of any person or entity;
• the User Content complies with these Terms, the Community Guidelines, and Applicable Law;
• the User Content is accurate and not misleading to the extent it purports to describe you or your activities.

Dinner Date is not responsible for User Content created by users.

18.3 No Obligation to Publish

Dinner Date is not obligated to publish, display, maintain, or continue hosting any User Content.

We may refuse, remove, restrict, or disable access to User Content where reasonably necessary to:

• comply with Applicable Law;
• enforce these Terms;
• protect users;
• maintain platform integrity;
• investigate abuse;
• respond to legal requests.

19. Photos and Media

19.1 Profile Photos

Users may upload profile photographs and other media in accordance with the Photo and Profile Policy.

Profile photographs should accurately represent the user.

19.2 Prohibited Media

You must not upload media that:

• infringes another person's intellectual property rights;
• contains unlawful content;
• contains sexually explicit content prohibited by platform policies;
• depicts violence intended to shock or intimidate;
• promotes illegal activity;
• contains malicious software or code;
• impersonates another person;
• violates the rights of others.

Dinner Date may remove such media without prior notice where reasonably necessary.

19.3 AI-Generated Images

Where permitted by platform policies, AI-generated or digitally altered images must not be used in a manner that:

• impersonates another individual;
• materially misrepresents your identity;
• deceives other users regarding your appearance;
• facilitates fraud or abuse.

Dinner Date may require disclosure of AI-generated content in accordance with the Photo and Profile Policy.

20. Messages and Communications

20.1 User Communications

Users are solely responsible for messages and communications sent through the Services.

Communications must comply with:

• these Terms;
• the Community Guidelines;
• Applicable Law.

20.2 Monitoring

Dinner Date does not routinely review every communication exchanged between users.

However, Dinner Date may review communications where reasonably necessary to:

• investigate reports;
• enforce these Terms;
• detect fraud;
• respond to legal obligations;
• protect users;
• maintain platform security.

20.3 Retention

Communications may be retained in accordance with:

• the Privacy Policy;
• the Account Deletion and Data Retention Policy;
• Applicable Law.

Deletion of an Account does not necessarily remove copies of communications already received by other users or retained for legitimate legal or operational purposes.

21. License Granted by Users

21.1 License to Dinner Date

By submitting User Content through the Services, you grant Dinner Date a worldwide, non-exclusive, royalty-free, transferable (solely as part of a merger, acquisition, corporate restructuring, or sale of assets), sublicensable (to service providers acting on our behalf), revocable (subject to this Section and Applicable Law) license to:

• host;
• store;
• reproduce;
• process;
• transmit;
• display;
• distribute;
• adapt;
• resize;
• format;
• translate where necessary;
• create technical modifications;
• cache;
• back up;
• otherwise use the User Content solely for the purposes of operating, securing, improving, and providing the Services.

This license exists only to the extent reasonably necessary for Dinner Date to operate the Services and fulfill its contractual obligations.

21.2 Duration of License

The license granted above continues while the User Content is available through the Services and for any additional period reasonably necessary to:

• process deletion requests;
• maintain backups;
• comply with Applicable Law;
• preserve evidence;
• resolve disputes;
• enforce these Terms;
• protect users.

Where User Content has been irreversibly anonymized, aggregated, or incorporated into statistical reporting, the relevant information may continue to be used in accordance with the Privacy Policy.

21.3 No Compensation

Except where expressly agreed in writing, users are not entitled to compensation for the use of User Content as permitted by these Terms.

22. License Granted to Users

Subject to compliance with these Terms, Dinner Date grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial use.

This license does not permit you to:

• copy the Services except as permitted by law;
• reverse engineer the Services except where such rights cannot lawfully be excluded;
• redistribute platform content;
• scrape data;
• create competing services using Dinner Date content;
• bypass technical restrictions;
• access the Services through unauthorized automated means.

All rights not expressly granted are reserved by Dinner Date.

23. Artificial Intelligence Features

23.1 AI-Assisted Functionality

Dinner Date may use Artificial Intelligence or machine learning technologies to support features including:

• profile recommendations;
• invitation recommendations;
• spam detection;
• fraud detection;
• moderation assistance;
• customer support assistance;
• operational analytics.

AI-generated outputs are intended to assist platform operations and do not constitute professional advice, guarantees, or factual determinations.

23.2 Human Oversight

Where reasonably appropriate, significant moderation or trust and safety decisions may include human review.

Dinner Date reserves the right to review, modify, or reverse automated outcomes where appropriate.

23.3 User Responsibilities

Users remain responsible for decisions made using information presented by the Services, including AI-assisted recommendations.

Dinner Date does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.

24. Feedback

24.1 Voluntary Feedback

Users may voluntarily submit:

• suggestions;
• ideas;
• feature requests;
• bug reports;
• comments;
• evaluations;
• recommendations.

("Feedback")

Submission of Feedback is entirely voluntary.

24.2 License to Feedback

If you provide Feedback, you grant Dinner Date a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, implement, distribute, and otherwise exploit that Feedback for any lawful business purpose without restriction or obligation to provide compensation.

This license applies only to Feedback and does not alter ownership of your User Content.

24.3 No Confidential Relationship

Unless expressly agreed in writing, Feedback is provided on a non-confidential basis.

Dinner Date is under no obligation to:

• implement Feedback;
• maintain confidentiality of Feedback;
• provide compensation;
• acknowledge receipt of Feedback.

Part IV — Acceptable Use

25. Acceptable Use of the Services

25.1 General Standard

Dinner Date is intended to facilitate respectful, authentic, and safe dining experiences between eligible adult users.

You agree to use the Services:

• lawfully;
• honestly;
• respectfully;
• responsibly;
• in good faith;
• in accordance with these Terms and all applicable Dinner Date policies.

You acknowledge that your use of the Services may affect the experience and safety of other users.

25.2 Compliance with Policies

You agree to comply with all policies published by Dinner Date, including:

• Community Guidelines;
• Safety Guidelines;
• Photo and Profile Policy;
• Reporting and Enforcement Policy;
• Content Moderation Policy;
• Payment Terms;
• Refund and Deposit Policy;
• Location and Geofence Policy;
• Age and Eligibility Policy.

Violation of those policies may constitute a violation of these Terms.

25.3 Personal Responsibility

You remain solely responsible for:

• your decisions;
• your conduct;
• your communications;
• your interactions with others;
• compliance with Applicable Law.

Dinner Date provides a technology platform and does not supervise or control users' conduct outside the Services.

26. Prohibited Conduct

You must not use the Services to engage in conduct that is unlawful, harmful, deceptive, abusive, fraudulent, or inconsistent with the purpose of the platform.

Without limitation, prohibited conduct includes:

• harassment;
• bullying;
• intimidation;
• stalking;
• threats;
• coercion;
• discrimination;
• hate speech;
• extortion;
• blackmail;
• doxxing;
• impersonation;
• fraud;
• identity theft;
• scams;
• phishing;
• spam;
• unauthorized advertising;
• unlawful surveillance;
• malicious interference with the Services.

Attempts to assist, encourage, organize, or facilitate prohibited conduct are also prohibited.

27. Community Standards

Users must interact respectfully with others.

Examples of expected behaviour include:

• respectful communication;
• honest representation;
• punctual attendance where reasonably possible;
• good faith participation;
• respect for personal boundaries;
• respectful disagreement;
• appropriate behaviour in public venues.

Dinner Date may take enforcement action where conduct materially undermines the safety, integrity, or intended purpose of the platform.

The Community Guidelines provide additional examples but do not limit Dinner Date's ability to address comparable conduct.

28. Illegal Activity

The Services may not be used for unlawful purposes.

Examples include:

• criminal activity;
• money laundering;
• terrorist financing;
• human trafficking;
• sexual exploitation;
• child exploitation;
• fraud;
• identity fraud;
• document forgery;
• intellectual property infringement;
• unlawful gambling;
• distribution of illegal substances;
• unlawful weapons transactions;
• organized criminal activity.

Dinner Date reserves the right to cooperate with competent authorities where required or permitted by Applicable Law.

29. Fraud and Deceptive Practices

Users must not engage in fraudulent or deceptive activity.

Examples include:

• creating fake Accounts;
• impersonating another individual;
• using stolen payment methods;
• manipulating reservations;
• intentionally avoiding payment obligations;
• abusing promotional offers;
• creating multiple Accounts to evade enforcement;
• falsifying attendance;
• submitting false reports;
• manipulating ratings or reviews.

Dinner Date may suspend or terminate Accounts suspected of fraudulent activity pending investigation.

30. Fake Profiles and Identity Misrepresentation

Users must accurately represent themselves.

You must not:

• use another person's identity;
• use another person's photographs;
• misrepresent your age;
• falsely claim verification;
• create parody Accounts that could reasonably mislead users;
• impersonate public figures;
• impersonate Restaurant Partners;
• impersonate Dinner Date personnel.

Dinner Date may require identity verification where reasonably necessary to investigate suspected impersonation.

31. Spam, Commercial Activity, and Platform Misuse

The Services are intended for genuine social and dining interactions.

Without prior written authorization from Dinner Date, you must not use the Services for:

• unsolicited commercial communications;
• marketing campaigns;
• affiliate marketing;
• lead generation;

Users must not attempt to interfere with the normal operation of the Services through excessive, automated, or abusive activity.

32. Harassment, Abuse, and Safety Violations

Dinner Date maintains a zero-tolerance approach toward behaviour that threatens user safety.

Examples include:

• harassment;
• sexual harassment;
• repeated unwanted contact;
• stalking;
• intimidation;
• threats of violence;
• coercive behaviour;
• abusive language;
• discriminatory conduct;
• revenge content;
• sharing another person's Personal Information without authorization.

Users should promptly report behaviour that may threaten safety using the reporting tools provided through the Services.

Dinner Date may investigate reported conduct and take enforcement action where reasonably appropriate.

33. Technical Misuse

You must not:

• attempt unauthorized access to systems or Accounts;
• interfere with security features;
• introduce malicious software;
• exploit vulnerabilities;
• reverse engineer the Services except where rights cannot lawfully be excluded;
• interfere with infrastructure;
• bypass authentication systems;
• overload or disrupt platform operations;
• use automated systems to access the Services without authorization.

Security testing may only be performed with prior written authorization from Dinner Date.

34. Circumvention of Platform Controls

You must not attempt to circumvent:

• account restrictions;
• suspensions;
• moderation decisions;
• verification processes;
• payment controls;
• fraud prevention measures;
• technical safeguards.

Examples include:

• creating replacement Accounts following termination;
• using alternate identities to evade enforcement;
• manipulating verification systems;
• using unauthorized software to bypass platform protections.

Dinner Date may permanently terminate Accounts that engage in repeated circumvention.

35. Reservation Integrity

Users must use reservation functionality responsibly.

You must not:

• intentionally reserve tables without intending to attend;
• repeatedly cancel reservations in bad faith;
• abuse no-show policies;
• manipulate attendance verification;
• interfere with Restaurant Partners;
• submit false reservation information.

Dinner Date may restrict reservation privileges where repeated misuse is identified.

36. Enforcement of Acceptable Use

Dinner Date may investigate suspected violations of these Terms or associated policies.

Where reasonably appropriate, enforcement measures may include:

• educational notices;
• warnings;
• temporary feature restrictions;
• content removal;
• reservation restrictions;
• payment restrictions;
• account suspension;
• permanent account termination;
• preservation of evidence;
• referral to competent authorities where required by Applicable Law.

Dinner Date is not obligated to apply enforcement measures in any particular order.

The absence of enforcement in one instance does not waive Dinner Date's right to enforce these Terms in future cases.

Users may have access to appeal procedures as described in the Reporting and Enforcement Policy where applicable.

Part V — Trust & Safety, Moderation, and Enforcement

37. User Reporting

37.1 Reporting Concerns

Dinner Date encourages users to promptly report conduct that may violate these Terms, the Community Guidelines, Applicable Law, or otherwise threaten the safety or integrity of the Services.

Reports may include concerns relating to:

• harassment;
• impersonation;
• fraud;
• fake profiles;
• spam;
• hate speech;
• violent threats;
• extortion;
• inappropriate content;
• intellectual property infringement;
• payment abuse;
• reservation abuse;
• suspicious activity;
• child safety concerns;
• other violations of these Terms.

37.2 Reporting Methods

Reports may generally be submitted through:

• in-app reporting tools;
• profile reporting features;
• message reporting features;
• customer support;
• designated trust and safety contact channels.

Dinner Date may request additional information reasonably necessary to investigate a report.

37.3 Good Faith Reporting

Users should submit reports honestly and in good faith.

Knowingly submitting false, malicious, or abusive reports may itself constitute a violation of these Terms.

38. Investigations

38.1 Authority to Investigate

Dinner Date reserves the right to investigate actual or suspected violations of:

• these Terms;
• Community Guidelines;
• Safety Guidelines;
• Applicable Law;
• other Dinner Date policies.

Investigations may occur before, during, or after enforcement actions where reasonably necessary.

38.2 Information Reviewed

Investigations may include review of:

• User Content;
• profile information;
• reservation history;
• payment history;
• communications where reasonably necessary;
• moderation history;
• trust and safety records;
• technical logs;
• fraud indicators;
• verification information;
• other information lawfully available to Dinner Date.

38.3 Cooperation

Users agree to cooperate with reasonable investigation requests.

Failure to cooperate may affect Dinner Date's ability to evaluate a report and may result in temporary restrictions where appropriate.

39. Content Moderation

39.1 Moderation Authority

Dinner Date may review, restrict, remove, disable, or refuse to publish User Content where reasonably necessary to:

• enforce these Terms;
• protect users;
• maintain platform integrity;
• comply with Applicable Law;
• investigate reports;
• protect Restaurant Partners;
• protect Dinner Date's rights.

39.2 Moderation Methods

Content moderation may involve:

• automated detection systems;
• AI-assisted review;
• human moderation;
• user reports;
• trusted flaggers;
• external legal notices.

Different moderation methods may be used depending on the nature of the content and the associated risk.

39.3 No Obligation to Monitor

Dinner Date is not obligated to proactively monitor every item of User Content or every interaction occurring through the Services.

Failure to detect or remove particular content does not constitute approval of that content.

40. Account Restrictions

40.1 Temporary Restrictions

Dinner Date may temporarily restrict access to some or all Services where reasonably necessary to:

• investigate reports;
• prevent fraud;
• protect users;
• preserve evidence;
• maintain operational integrity.

Restrictions may include:

• messaging limitations;
• reservation limitations;
• payment limitations;
• profile visibility restrictions;
• invitation restrictions;
• temporary suspension.

40.2 Permanent Termination

Dinner Date may permanently terminate an Account where reasonably appropriate, including where a user:

• repeatedly violates these Terms;
• commits serious misconduct;
• engages in fraud;
• impersonates another person;
• creates multiple Accounts to evade enforcement;
• threatens user safety;
• engages in illegal activity;
• distributes prohibited content.

Termination decisions are made at Dinner Date's discretion, subject to Applicable Law.

40.3 Effect of Termination

Upon termination:

• access to the Services may immediately cease;
• licenses granted under these Terms may terminate;
• User Content may be removed or retained in accordance with the Privacy Policy and applicable retention obligations;
• outstanding payment obligations remain enforceable;
• legal rights and obligations that survive termination continue in effect.

41. Appeals

41.1 Availability

Where Dinner Date provides an appeal process, eligible users may request review of certain moderation or enforcement decisions.

Not every decision is necessarily subject to appeal.

41.2 Review

Appeals may be reviewed using:

• human review;
• additional evidence;
• operational records;
• moderation history;
• technical information;
• applicable policies.

Dinner Date may affirm, modify, or reverse the original decision.

41.3 Finality

Following completion of the appeal process, Dinner Date's decision shall generally be considered final, subject to Applicable Law.

42. Preservation of Evidence

Dinner Date may preserve relevant information where reasonably necessary to:

• investigate abuse;
• support appeals;
• comply with legal obligations;
• preserve evidence;
• respond to lawful requests;
• defend legal claims;
• protect users.

Preservation of information does not necessarily imply wrongdoing by any individual.

Information preserved under this Section will be handled in accordance with the Privacy Policy, Account Deletion and Data Retention Policy, and Applicable Law.

43. Cooperation with Law Enforcement

Dinner Date may cooperate with competent governmental authorities, regulators, or law enforcement agencies where required or permitted by Applicable Law.

Such cooperation may include:

• responding to lawful requests;
• preserving information;
• producing records where legally required;
• assisting emergency situations involving imminent risk of serious harm where permitted by law.

Dinner Date evaluates legal requests in accordance with its Law Enforcement Request Policy and Applicable Law.

Nothing in these Terms obligates Dinner Date to disclose information absent an appropriate legal basis.

44. Child Safety and CSAM

Dinner Date maintains a zero-tolerance policy regarding Child Sexual Abuse Material ("CSAM") and child sexual exploitation.

Users must not upload, distribute, request, promote, possess through the Services, or otherwise engage with content involving child sexual abuse or exploitation.

Where Dinner Date reasonably believes that content or conduct may involve CSAM or child exploitation:

• the relevant content may be removed immediately;
• associated Accounts may be suspended or permanently terminated without prior notice;
• relevant information may be preserved;
• reports may be made to competent authorities or organizations where required or permitted by Applicable Law;
• further access to the Services may be permanently denied.

Confirmed CSAM-related enforcement actions are generally not eligible for reinstatement, except where required by Applicable Law or where Dinner Date determines that enforcement occurred due to demonstrable error.

Additional operational procedures are described in the Dinner Date CSAM Policy.

45. Enforcement Principles

Dinner Date seeks to administer its trust and safety program in a manner that is:

• fair;
• proportionate;
• consistent;
• transparent where appropriate;
• respectful of user rights;
• protective of user safety;
• compliant with Applicable Law.

Enforcement decisions may consider factors including:

• severity of the conduct;
• likelihood of harm;
• intent;
• prior violations;
• cooperation during investigations;
• credibility of available evidence;
• risk to users;
• operational integrity.

Dinner Date is not required to apply identical enforcement measures in every situation.

Nothing in these Terms limits Dinner Date's ability to take immediate action where reasonably necessary to protect users, Restaurant Partners, the Services, or comply with Applicable Law.

Part VI — Payments and Financial Terms

46. Payment Processing

46.1 Paid Services

Certain Services or platform features may require payment.

Examples include:

• reservation deposits;
• booking fees;
• premium subscriptions (if offered);
• premium features;
• optional purchases;
• other paid services made available through the platform.

All applicable fees will be disclosed before payment authorization is requested.

46.2 Payment Providers

Purchases made inside the Dinner Date mobile application — including Date Credits (Section 47) and any premium subscriptions or features — are processed by Apple (App Store) or Google (Google Play) as in-app purchases. Apple or Google is the merchant of record for those transactions: they collect payment, handle payment security, apply their own taxes and pricing localization, and administer their own refund policies. Dinner Date never receives or stores your card, UPI, or bank details for in-app purchases.

Where Dinner Date separately offers real-money payment flows (for example, through an independent payment gateway), those payments are processed by third-party payment service providers, and users may also be subject to the applicable terms and privacy policies of those providers.

46.3 Payment Authorization

By completing an in-app purchase, you authorize the relevant app store to charge your chosen payment method under the store's own terms.

Where a real-money payment gateway applies, by submitting payment information you authorize Dinner Date and its payment providers to:

• verify payment methods;
• place authorization holds where applicable;
• capture authorized amounts;
• process refunds where applicable;
• collect amounts properly owed under these Terms.

Authorization does not guarantee successful payment.

47. Date Credits and Reservation Deposits

47.1 Purpose of Deposits

Dinner Date requires a behavior deposit ("bond") when posting or applying to a date, to:

• reduce no-shows;
• support reservation integrity;
• assist Restaurant Partners;
• discourage abuse of reservation functionality.

Deposits are not intended as penalties but may be forfeited where provided under these Terms and the Refund & Deposit Policy.

47.2 Date Credits

Deposits are held in Date Credits, an in-app unit purchased through Apple/Google in-app purchase. By purchasing or committing Date Credits you acknowledge and agree that:

• Credits are not money and have no cash value. They cannot be converted back to money, withdrawn, redeemed for cash, or transferred to another person or account, in whole or in part, at any time.
• Credits are non-refundable by Dinner Date. The underlying store purchase is between you and Apple or Google; any refund of that purchase is available solely through the store, under the store's own policies and discretion.
• Credits can only be used inside Dinner Date, for the features Dinner Date makes them usable for — currently the behavior deposit on posting or applying to a date.
• Holding a deposit is not a charge. When you commit a bond, the credits move from your balance into a held state. They return to your balance in full when the date resolves in your favor (including verified attendance), and are forfeited in whole or in part only under Section 47.3 and the Refund & Deposit Policy shown before every hold.
• Credits do not expire while your account exists. If you delete your account, any remaining credit balance is forfeited after the deletion grace period, during which you may use the balance or contact support.
• Your acceptance of these credit terms is recorded. Dinner Date requires an explicit acknowledgement of these terms before credits can be purchased or committed, and stores that acknowledgement (including its version and time) against your account and against each purchase and hold.

Where a real-money payment gateway applies instead of Date Credits, Dinner Date or its payment providers may place temporary authorization holds or captures on a payment method, subject to the rules of the payment provider and issuing financial institution.

47.3 Deposit Forfeiture

Held deposits may be retained (forfeited), in whole or in part, where permitted under these Terms and the Refund & Deposit Policy, including where:

• a user fails to attend a reservation without a valid reason and the attendance rules in the Refund & Deposit Policy resolve against them;
• a reservation is cancelled outside the permitted cancellation window;
• fraudulent activity is identified;
• reservation abuse occurs.

Forfeited credits are retained by Dinner Date and are not transferred to any other user. Dinner Date will seek to apply deposit policies consistently and in accordance with Applicable Law.

48. Billing and Charges

48.1 Billing Accuracy

Users are responsible for providing accurate payment information.

Failure to provide accurate payment details may result in:

• payment failure;
• reservation cancellation;
• delayed processing;
• restricted Services.

48.2 Currency

Payments will generally be processed in the currency identified at checkout or otherwise communicated before payment.

Currency conversion, exchange rates, and international transaction fees may be determined by financial institutions or payment providers and are outside Dinner Date's control.

48.3 Pricing

Prices displayed through the Services may change from time to time.

Price changes generally apply prospectively and do not affect completed transactions unless required by Applicable Law.

Pricing errors may be corrected before completion of a transaction.

49. Refunds

49.1 General Principles

Refund eligibility is governed by:

• these Terms;
• the Refund & Deposit Policy;
• Applicable Law.

Not all transactions are refundable.

49.2 Refund Processing

Approved refunds will generally be returned using the original payment method where reasonably practicable.

Actual refund timing depends upon:

• payment processors;
• financial institutions;
• payment networks.

Dinner Date cannot guarantee the processing time of third-party financial institutions.

49.3 Restaurant-Related Issues

Restaurant-specific issues including:

• food quality;
• service;
• menu availability;
• seating arrangements;
• restaurant operations;

are generally the responsibility of the Restaurant Partner.

Dinner Date may assist users in resolving issues where appropriate but is not responsible for the independent operation of Restaurant Partners.

50. Chargebacks and Payment Disputes

50.1 Good Faith Resolution

Users are encouraged to contact Dinner Date before initiating a chargeback where a payment concern may reasonably be resolved directly.

50.2 Chargeback Investigations

Dinner Date reserves the right to investigate chargebacks.

During an investigation, Dinner Date may:

• temporarily restrict certain Services;
• request supporting documentation;
• communicate with payment providers;
• preserve transaction records.

50.3 Fraudulent Chargebacks

Knowingly initiating fraudulent or abusive chargebacks may constitute a material breach of these Terms.

Dinner Date reserves all legal rights relating to recovery of amounts properly owed.

51. Taxes

Unless otherwise stated:

• applicable taxes;
• value-added taxes;
• goods and services taxes;
• sales taxes;
• similar governmental charges

may be added where required by Applicable Law.

Users remain responsible for taxes applicable to their purchases unless otherwise required by law.

52. Payment Failures

Payments may fail for reasons including:

• insufficient funds;
• expired payment methods;
• authorization failures;
• fraud prevention controls;
• payment network interruptions.

Dinner Date may suspend or cancel reservations where required payments cannot be successfully processed.

Users remain responsible for updating payment information when necessary.

53. Financial Responsibility

Users are responsible for:

• amounts they authorize;
• reservation obligations;
• applicable cancellation fees;
• taxes;
• other charges incurred through their Account.

Users must not intentionally avoid payment obligations through fraudulent or deceptive conduct.

54. Subscription Services (If Offered)

If Dinner Date introduces subscription-based Services:

• pricing;
• billing frequency;
• renewal terms;
• cancellation procedures;
• subscription benefits;

will be disclosed before purchase.

Unless otherwise stated, subscriptions will not automatically renew unless users provide the authorization required by Applicable Law.

Users may cancel subscriptions in accordance with the applicable subscription terms and Applicable Law.

55. Promotional Offers

Dinner Date may offer:

• promotional credits;
• discount codes;
• referral rewards;
• introductory offers;
• limited-time campaigns.

Promotional offers:

• have no cash value unless expressly stated;
• may be modified or withdrawn where permitted by Applicable Law;
• may be subject to eligibility requirements;
• may not be transferred, sold, or redeemed except as expressly permitted.

Dinner Date reserves the right to revoke promotional benefits obtained through fraud, abuse, or violation of these Terms.

56. Payment Records

Dinner Date may maintain records relating to payment activity for purposes including:

• accounting;
• taxation;
• fraud prevention;
• customer support;
• dispute resolution;
• legal compliance.

Payment records are retained in accordance with the Privacy Policy and the Account Deletion and Data Retention Policy.

Dinner Date generally does not intentionally retain complete payment card numbers processed directly by PCI-compliant payment processors.

57. Relationship to Payment Policies

This Part establishes the contractual framework governing payments through the Services.

Additional operational procedures, including deposit handling, cancellation windows, refund eligibility, payment processing workflows, and financial dispute procedures, are described in:

Part VII — Intellectual Property

58. Ownership of the Services

58.1 Platform Ownership

The Services, including their design, architecture, software, source code, object code, databases, user interfaces, graphics, visual elements, layouts, workflows, algorithms, documentation, text, compilations, and all other platform components are owned by Dinner Date or its licensors and are protected by applicable intellectual property and other laws.

Except for the limited rights expressly granted under these Terms, no ownership or proprietary interest in the Services is transferred to you.

58.2 Reservation of Rights

Dinner Date reserves all rights not expressly granted under these Terms.

No implied license or right shall arise by estoppel or otherwise.

59. Trademarks and Branding

"Dinner Date", associated logos, service marks, product names, slogans, icons, graphics, and other branding elements are the property of Dinner Date or its licensors.

You may not:

• use Dinner Date trademarks;
• register confusingly similar names;
• reproduce branding;
• imply sponsorship or endorsement;
• use branding in advertising;
• incorporate branding into domain names, social media accounts, or applications,

without prior written authorization.

Nothing in these Terms grants any license to use Dinner Date trademarks.

60. Copyright

All copyrightable material contained within the Services, excluding User Content, is owned by Dinner Date or its licensors.

Examples include:

• software;
• application design;
• interface layouts;
• icons;
• illustrations;
• documentation;
• databases;
• graphics;
• original text;
• audiovisual material.

Unauthorized copying, reproduction, distribution, public display, modification, or creation of derivative works is prohibited except where permitted by Applicable Law.

61. Software License

61.1 Limited License

Subject to compliance with these Terms, Dinner Date grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the official Dinner Date applications solely for your personal, non-commercial use.

61.2 Restrictions

Except where Applicable Law provides otherwise, you must not:

• copy the software;
• modify the software;
• create derivative works;
• reverse engineer;
• decompile;
• disassemble;
• bypass security features;
• circumvent technical protections;
• redistribute software;
• lease or sublicense software;
• use the software to build competing products.

61.3 Updates

Dinner Date may provide software updates, bug fixes, patches, security improvements, or feature enhancements.

Some updates may be mandatory for continued use of the Services.

Failure to install required updates may limit or prevent access to certain features.

62. User Content and Platform Rights

Ownership of User Content remains with the user as described in Part III.

The operational license granted to Dinner Date under Section 21 is incorporated into these Terms and survives only to the extent reasonably necessary to:

• preserve evidence;
• resolve disputes;
• maintain backups.

Nothing in this Part transfers ownership of User Content to Dinner Date.

If you believe material available through the Services infringes your copyright or other intellectual property rights, you may submit a notice in accordance with the Copyright & DMCA Policy.

A valid notice should include information reasonably necessary to:

• identify the complaining party;
• permit Dinner Date to contact the complainant;
• evaluate the request.

Dinner Date may remove or restrict access to allegedly infringing material while investigating a complaint where appropriate.

66. Repeat Infringer Policy

Dinner Date may suspend or terminate the Accounts of users who repeatedly infringe the intellectual property rights of others.

Determinations regarding repeat infringement may consider:

• prior notices;
• counter-notices;
• investigation outcomes;
• judicial determinations;
• applicable legal requirements.

Dinner Date reserves discretion to determine appropriate enforcement measures, subject to Applicable Law.

67. Counter-Notices

Where Applicable Law provides a mechanism for challenging the removal of allegedly infringing content, users may submit a counter-notice in accordance with the Copyright & DMCA Policy.

Dinner Date may restore content where legally appropriate following review of a valid counter-notice.

Submission of false or misleading notices or counter-notices may result in legal consequences and enforcement action under these Terms.

68. Feedback and Suggestions

Users may voluntarily provide:

• feature requests;
• ideas;
• evaluations;

Unless otherwise agreed in writing, Feedback is provided voluntarily and without expectation of compensation.

Nothing in these Terms limits any legal rights or remedies available to Dinner Date or third parties arising from:

• patent infringement;

• breach of confidence;
• violation of contractual obligations;
• other unlawful conduct.

Dinner Date reserves all rights available under Applicable Law to protect its intellectual property and the intellectual property of others.

By using the Services, you acknowledge that Dinner Date may process Personal Information as described in the Privacy Policy.

Nothing in these Terms limits any privacy rights granted under Applicable Law.

The Services may integrate with independent third-party providers, including:

Information provided through the Services is for general informational purposes only.

Nothing contained within the Services constitutes:

74.3 Meet at Your Own Risk

Dinner Date cannot guarantee the conduct, intentions, honesty, identity, or safety of any user.

Users are solely responsible for determining whether to meet another individual.

Dinner Date strongly recommends following the Safety Guidelines before participating in any in-person meeting.

74.4 Restaurant Disclaimer

Restaurant Partners operate independently.

Dinner Date is not responsible for:

• food quality;
• hygiene;
• allergens;
• pricing;
• customer service;
• alcohol service;
• accessibility;
• restaurant staffing;
• restaurant operations.

74.5 Emergency Services

Safety features are intended to supplement, not replace, local emergency services.

Dinner Date is not an emergency response provider.

Users should immediately contact appropriate emergency authorities whenever immediate assistance is required.

74.6 Date Terms Are an Agreement Between Users

When users agree the terms of a date through the Services — including the venue, the date and time, the bill preference or bill split, the stated date intent, any declared dealbreakers, seat commitments, and attendance itself — those terms constitute an arrangement solely between the participating users.

Dinner Date is not a party to that arrangement. Dinner Date does not act as an agent, broker, guarantor, surety, escrow agent, or insurer in respect of it.

Dinner Date does not guarantee, warrant, or undertake that any user will:

• attend the date at all, attend on time, or remain for its duration;
• attend at the agreed venue, or on the agreed date and time;
• honour the agreed bill preference or bill split, or pay any share of a bill, tab, or other charge;
• honour any stated date intent, declared dealbreaker, dietary requirement, attire preference, or table topic;
• have described themselves, their circumstances, or their intentions truthfully;
• conduct themselves in any particular manner before, during, or after the date.

Dinner Date does not attend, supervise, chaperone, mediate, arbitrate, or otherwise take part in any date, and has no ability to compel any user to perform what they have agreed.

Any bill, cost, expense, loss, damage, debt, or dispute arising between users in connection with a date — including any unpaid share of a bill, any wasted expenditure, any travel or accommodation cost, and any consequential loss — is a private matter between the users concerned, to be resolved between them. Dinner Date accepts no liability for it and is under no obligation to investigate, adjudicate, recover, reimburse, indemnify, or otherwise make good any such amount.

74.7 Behaviour Bond Is Not Compensation

The behaviour bond (also described in the Services as a deposit) is a deterrent and a fixed, limited contractual remedy operating strictly in accordance with the Refund & Deposit Policy.

The behaviour bond is not:

• compensation, damages, or a genuine pre-estimate of any user's loss;
• insurance, indemnity, or a guarantee of performance;
• a payment or transfer between users, save where the Refund & Deposit Policy expressly provides for a no-show fee;
• a fund from which Dinner Date will meet a bill, a claim, or a dispute between users.

Forfeiture or return of a behaviour bond is determined solely by the rules set out in the Refund & Deposit Policy and does not represent any assessment by Dinner Date of fault, of the truthfulness of either user, or of the merits of any dispute between them.

74.8 Enforcement Against Accounts Is Not a User Remedy

Users may report another user who fails to honour agreed date terms. Dinner Date reviews reports and may warn, restrict, suspend, or ban an account in accordance with the Reporting & Enforcement Policy.

Any such action is enforcement by Dinner Date against an account in respect of the Services. It is not a remedy owed to, or recoverable by, the reporting user, confers no right to compensation, and does not constitute a finding, determination, or adjudication of any dispute between users.

75. Limitation of Liability

To the fullest extent permitted by Applicable Law, Dinner Date and its affiliates, officers, directors, employees, contractors, licensors, service providers, and Restaurant Partners shall not be liable for indirect, incidental, consequential, exemplary, punitive, special, or similar damages arising out of or relating to the Services.

This includes, without limitation:

• lost profits;
• lost revenue;
• lost opportunities;
• loss of goodwill;
• data loss;
• business interruption;
• emotional distress;
• personal disappointment;
• reservation failures;
• unsuccessful matches;
• user interactions;
• third-party conduct.

Where Applicable Law does not permit certain limitations of liability, those limitations shall apply only to the maximum extent permitted.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

76. Indemnification

To the extent permitted by Applicable Law, you agree to defend, indemnify, and hold harmless Dinner Date, its affiliates, directors, officers, employees, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable legal expenses arising out of or relating to:

• your use of the Services;
• your User Content;
• your violation of these Terms;
• your violation of Applicable Law;
• your infringement of third-party rights;
• your interactions with other users;
• fraudulent conduct;
• misuse of the Services.

Dinner Date will provide reasonable notice of claims where practicable.

77. Force Majeure

Dinner Date shall not be responsible for delays or failures to perform resulting from events beyond its reasonable control.

Examples include:

• natural disasters;
• earthquakes;
• floods;
• fires;
• epidemics;
• pandemics;
• war;
• terrorism;
• civil unrest;
• labour disputes;
• government actions;
• telecommunications failures;
• internet outages;
• cyberattacks;
• utility failures;
• payment network disruptions;
• failures of third-party service providers.

Dinner Date will use reasonable efforts to resume normal operations following such events.

78. Governing Law

These Terms shall be governed by and construed in accordance with the laws specified by Dinner Date for the applicable jurisdiction, without regard to conflict-of-law principles, except where Applicable Law requires otherwise.

Where local consumer protection laws provide mandatory rights, those rights remain unaffected.

Jurisdiction-specific provisions may be published in a Country-Specific Terms appendix.

79. Dispute Resolution

Dinner Date encourages users to first contact customer support to seek an informal resolution of disputes.

Where informal resolution is unsuccessful, disputes may be resolved through courts or alternative dispute resolution mechanisms as required or permitted by Applicable Law.

If Dinner Date later adopts arbitration or other dispute resolution procedures for specific jurisdictions, those procedures will be published in jurisdiction-specific terms and will not affect any non-waivable statutory rights.

80. Suspension and Discontinuation of Services

Dinner Date may suspend, modify, or discontinue all or part of the Services where reasonably necessary to:

• improve the platform;
• perform maintenance;
• address security issues;
• comply with Applicable Law;
• respond to operational requirements;
• discontinue obsolete features.

Where reasonably practicable, Dinner Date will provide advance notice of material service interruptions.

Dinner Date is not obligated to continue offering any particular feature indefinitely.

81. Assignment

You may not assign or transfer your rights or obligations under these Terms without Dinner Date's prior written consent.

Dinner Date may assign or transfer these Terms, in whole or in part, in connection with:

• mergers;
• acquisitions;
• corporate reorganizations;
• financing transactions;
• sales of assets;
• changes in corporate structure.

These Terms shall bind and benefit the permitted successors and assigns of the parties.

82. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified only to the minimum extent necessary to comply with Applicable Law.

The remaining provisions shall remain in full force and effect.

83. No Waiver

Failure by Dinner Date to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Any waiver must generally be made in writing by an authorized representative of Dinner Date.

84. Entire Agreement

These Terms, together with the documents expressly incorporated by reference, constitute the entire agreement between you and Dinner Date relating to the Services.

They supersede prior understandings, communications, negotiations, and agreements relating to the same subject matter.

85. Survival

The following provisions survive suspension, termination, or expiration of these Terms to the extent reasonably necessary:

• ownership of intellectual property;
• licenses granted under these Terms;
• payment obligations;
• indemnification;
• limitation of liability;
• dispute resolution;
• evidence preservation;
• confidentiality obligations;
• privacy obligations where applicable;
• legal compliance requirements;
• any provisions that by their nature are intended to survive.

86. Electronic Communications

You consent to receive communications from Dinner Date electronically, including through:

• email;
• in-app notifications;
• SMS or push notifications where enabled;
• website notices;
• customer support communications.

Electronic communications satisfy legal requirements for written communications where recognized by Applicable Law.

Grievance Officer

In accordance with Rule 3(2) of the Indian Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Digital Personal Data Protection Act, 2023:

Complaints regarding content, conduct, moderation decisions, account actions or the handling of personal data may be sent to the Grievance Officer at the address above. Complaints concerning content that exposes a person's private area, shows nudity or sexual acts, or is impersonation in an electronic form will be actioned within 24 hours as required by Rule 3(2)(b).

Dinner Date is not, at present, a Significant Social Media Intermediary as defined by those Rules. Should it cross the applicable user threshold, it will additionally publish a physical contact address and appoint the further officers those Rules require.

Appendix A — Definitions

The definitions contained in Section 2 form part of these Terms.

Dinner Date may expand or refine defined terms from time to time, provided that such updates do not materially reduce user rights without appropriate notice where required by Applicable Law.

Appendix B — Country-Specific Terms

Dinner Date may publish supplemental jurisdiction-specific terms where required to comply with local laws.

Country-specific terms may address matters including:

• consumer rights;
• mandatory disclosures;
• dispute resolution;
• statutory warranties;
• privacy obligations;
• cancellation rights;
• local payment requirements.

Where mandatory local law conflicts with these Terms, the mandatory provisions of local law shall prevail.

Appendix C — Consumer Rights

Nothing in these Terms is intended to exclude, restrict, or limit any consumer rights that cannot lawfully be excluded under Applicable Law.

Where consumer protection legislation grants mandatory rights or remedies, those rights remain unaffected by these Terms.

Our Commitment

Dinner Date seeks to provide a respectful, trustworthy, and safe platform that enables adults to arrange meaningful dining experiences while respecting user privacy, promoting responsible conduct, protecting intellectual property, supporting Restaurant Partners, and complying with Applicable Law.

By using the Services, you acknowledge that you have read, understood, and agree to these Terms of Service.
